Terms of Service

1. Acceptance of Terms

Welcome to when.work. By accessing or using when.work, our service for finding a time to meet (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Nobokai, Inc. (“Nobokai,” “we,” “us,” or “our”). We may update these Terms. If a change matters, we update the date above and tell account holders by email before it applies; your continued use of the Service after that constitutes acceptance of the updated Terms.

2. Description of Service

when.work helps a group find a time to meet. It lets you:

• Make a poll for the days and hours that suit you, and share its link.
• Answer a poll by tapping your free times, or by filling them from your Google or Outlook calendar.
• See the best time as answers come in, and lock it.
• With when.work Pro: invite people by email and text, remind whoever hasn't answered, and let Autopilot book the best time.

The Service is provided “as is” and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts and Registration

Account Creation

Making or answering a poll needs no account. Pro needs one: you sign in with a code sent to your email, or with Google or Microsoft. To use the Service, you must:

• Be at least 13 years of age.
• Provide accurate and complete information.
• Keep access to the email address on your account; it is how you sign back in.
• Promptly update any changes to your account information.

Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to maintain account security.

The private organiser link to a poll works like a password: anyone who has it can manage that poll. Keep it to yourself.

4. Third-Party Integrations

Calendar Sign-In

When you continue with Google or Microsoft, you authorize when.work, through their sign-in screens, to read your calendar and your basic profile (name and email). We use calendar access only to find when you are busy, as described in our Privacy Policy.

Payments

Payments for Pro and texts are processed by Stripe, under Stripe's own terms.

Third-Party Terms

Your use of integrated third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

Revoking Access

You may revoke when.work's access to your Google or Microsoft calendar at any time through that service's account settings. Revoking access means your answers can no longer be filled from that calendar.

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Harass anyone, or send spam or messages people did not ask for.
• Upload, transmit, or distribute malicious code, viruses, or harmful software.
• Engage in unauthorized access, hacking, or disruption of the Service, or try to reach polls or accounts that aren't yours.
• Impersonate any person or entity, or falsely represent your affiliation.
• Collect or harvest personal information of other users.
• Use automated systems (bots, scrapers) without our prior written consent.
• Interfere with or disrupt the Service or servers/networks connected to the Service.
• Reverse engineer, decompile, or disassemble any aspect of the Service.

We reserve the right to investigate violations and take appropriate action, including terminating your account and reporting illegal activities to law enforcement.

6. Texting People

Before we text anyone for you, you tick a box confirming that the people you added know you and agreed to get texts about that poll; we record when you did. Only add people you know and have a reason to invite to that poll. No marketing, no lists bought or found, no strangers.

• Each person gets one invite text, sent as “Your name @ when.work”, and reminders only if they opened their link.
• Anyone can reply STOP, and we stop texting them, for every poll.
• Texts go to US numbers only.

We may pause texting on an account, or close it, if it is used to send unwanted messages, or while we review a payment that looks fraudulent.

7. Intellectual Property Rights

Our Content

The Service, including all content, features, functionality, software, and design, is owned by Nobokai and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Your Content

You retain all rights to the polls, answers, and other content you submit to the Service (“User Content”). By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, and process your User Content, and to show it to the people who have the poll's link, solely to provide and improve the Service.

Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without compensation or attribution to you.

8. Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Payment Terms

Free and Pro

Making and answering polls is free. when.work Pro is $4.99 a month, or $47.88 a year. Prices are in US dollars.

Billing and Renewals

• Stripe bills you at the start of each period, monthly or yearly.
• The plan renews automatically until you cancel.
• If a price changes, we tell you by email before your next renewal.

Texts

• Pro includes 100 texts a month. Unused ones don't carry over.
• Extra texts are $5 for 250 and never expire, though sending any text needs Pro to be on.

Cancellation

Cancel any time from your account (Manage billing). Pro stays on until the end of the period you paid for, and you are not charged again.

Refunds

Ask within 14 days of any charge, at developer@nobokai.com, and we refund it in full through Stripe. After that, fees are non-refundable except as required by law.

10. Service Availability and Support

While we strive to provide continuous service availability, we do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We may perform maintenance or updates that temporarily affect service availability.

Support is provided on a best-effort basis at developer@nobokai.com. We do not guarantee response times or resolution of all issues.

11. Disclaimers and Limitation of Liability

Service Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY.

We are not responsible for a missed meeting, a message that didn't arrive, or a calendar that was out of date.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOBOKAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nobokai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, (d) your User Content, or (e) the people you invite and the messages we send to them at your request.

13. Termination

Termination by You

You may stop using the Service at any time. To delete your account, email developer@nobokai.com from the address on it; we cancel any Pro subscription first.

Termination by Us

We reserve the right to suspend or terminate your account and access to the Service, without notice, for:

• Violation of these Terms, our Acceptable Use Policy, or the rules for texting people.
• Fraudulent, illegal, or abusive behavior.
• Non-payment of subscription fees.
• Prolonged inactivity.
• At our sole discretion to protect the Service or other users.

Effects of Termination

Upon termination, your right to access the Service immediately ceases. We may delete your account data in accordance with our data retention policies. Some provisions of these Terms survive termination, including intellectual property rights, disclaimers, and limitation of liability.

14. Dispute Resolution

Informal Resolution

Before filing any formal claim, you agree to contact us at developer@nobokai.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any disputes that cannot be resolved informally shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place remotely or in a mutually agreed location.

Class Action Waiver

You agree to resolve disputes on an individual basis only, and waive any right to participate in class-action lawsuits or class-wide arbitration.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware and applicable United States federal law, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts in Delaware for any disputes not subject to arbitration.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nobokai regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
